Terms and Conditions

These Terms and Conditions govern your use of the services and platforms of AMS Global Logistics LLC. Last updated: August 21, 2026.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and AMS Global Logistics LLC (“AMS,” “we,” “us,” or “our”) governing your access to and use of the Air Meets Sea website, warehouse management system (“WMS”), mobile applications, and related logistics services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Business-to-Business Services Only

AMS operates strictly as a Business-to-Business (B2B) logistics and consolidation provider. The Services are offered exclusively to authorized business partners operating under active contractual agreements with AMS.

AMS does not provide receiving, storage, forwarding, or shipping services for individual consumers. Use of the Services by anyone other than an authorized business partner, or delivery of goods to an AMS facility without an active authorized account, is subject to the Business Service Notice, which is incorporated into these Terms by reference.

Fees for logistics services are set out in the applicable partner agreement, rate schedule, or invoice. Unless otherwise agreed in writing, invoices are payable upon the terms stated on them, and AMS may withhold release of goods, suspend Services, or exercise any lien rights available under applicable law for unpaid amounts.

7. Intellectual Property

The Services, including all software, designs, logos, text, and content, are the property of AMS or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes in connection with your relationship with AMS. No other rights are granted.

Our collection and use of personal information in connection with the Services is described in our Privacy Policy. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AMS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by applicable law, AMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to the Services, even if advised of the possibility of such damages.

AMS's total aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by you to AMS for the specific service giving rise to the claim during the three (3) months preceding the event, unless a higher limit is expressly set out in an executed partner agreement or required by applicable law. Risk of loss for unauthorized shipments remains solely with the sender and/or the courier used.

11. Indemnification

You agree to indemnify, defend, and hold harmless AMS and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your shipments, your breach of these Terms, or your violation of any law or third-party right.

12. Termination

AMS may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms, upon termination of the underlying business relationship, or as otherwise permitted by law. Sections that by their nature should survive termination (including Sections 7, 10, 11, and 13) shall survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
